General Terms & Conditions

The Campaign is a promotional initiative organised by the Company to encourage eligible users to engage with the Guardians App by completing designated quests and activities.

Participants who successfully complete eligible quests in accordance with these Terms and any applicable quest-specific requirements may become eligible to receive promotional rewards.

The Campaign is intended solely for promotional and engagement purposes. Participation in the Campaign is voluntary and does not require participants to purchase any product or service unless expressly stated as a requirement of a specific quest. Participation in the Campaign does not create any contractual relationship between the Company and a participant other than expressly provided in these Terms, nor does it create any entitlement to receive future campaigns, rewards or other benefits.

The Campaign may include, but shall not be limited to, perks, discounts, cashbacks, prizes (the “Campaign Reward”), and shall be open only to natural persons who:

• are legal residents of countries where the SwissBorg Application is available (https://swissborg.com/fr/supported-countries) and aged eighteen (18) years old or above; and
• during a Promotion Period, have fulfilled any other conditions imposed or have performed any other action required by the Company, as communicated either via email, social media, the SwissBorg Application, Discord, Guardians App or any other electronic medium deemed appropriate, in the Company’s sole and absolute discretion, in order to be eligible to participate in a Promotion (the “Eligible Participant(s)”). Employees of the Company and partner companies that are involved in a Promotion are excluded from entering a Promotion. The use of bots and other similar tools for data mining or the automatic submission and transmission of data is not permitted; and
• comply with these Terms and all applicable laws and regulations.

The Campaign may not be available in all jurisdictions. Participants are solely responsible for ensuring that their participation is lawful in their country of residence. The Company reserves the right to verify a participant’s eligibility at any time before or after any reward is granted. The Company may refuse, suspend or revoke participation where it reasonably determines that a participant no longer satisfies the eligibility criteria or has breached these Terms.

The Company may make quests available through the Guardians App. Each Quest may include additional requirements, conditions, deadlines, limitations or reward criteria, which shall form part of these Terms.

• Where a Quest requires a participant to create, publish or otherwise disseminate content, the participant shall comply with all instructions, requirements and guidance provided by the Company in connection with that quest.
• Participants must not modify, supplement or present any campaign materials in a manner that is inconsistent with the instruction provided by the Company in connection with a Quest.
• Participants must complete all applicable Quest requirements within the specified timeframe and in accordance with any instructions provided through the Guardians App.
• Unless expressly stated otherwise, each Quest may only be completed once per eligible participant.
• Quest competition shall be determined exclusively on the basis of Company’s systems, records and reasonable assessment. The Company’s determination of whether a Quest has been successfully completed shall be final, except in the event of manifest error.
• Participants must not submit false, misleading, or fabricated quest completion information.
• Participants must not exploit software bugs, technical vulnerabilities, system errors or unintended features of the Campaign or the Guardians App. Any reward obtained through such conduct may be withheld, cancelled or recovered by the Company.
• The Company may modify, replace, suspend or remove any quest at any time where reasonably necessary, including for operational security, legal or regulatory reasons.
• Completion of a Quest does not automatically entitle a participant to receive a reward. Rewards remain subject to verification of eligibility, compliance with these Terms and any applicable quest-specific conditions.
• The Company may require additional verification before granting any reward where it reasonably considers such verification necessary to ensure compliance with these Terms or applicable laws.

Every Eligible Participants shall benefit or qualify to benefit from a Campaign Reward, depending on the applicable conditions, as communicated by the Company in each case, either via email, social media, the SwissBorg Application, Discord, Guardians App or any other electronic medium deemed appropriate, in the Company’s sole and absolute discretion. A Campaign Reward shall be determined by the Company in its sole and absolute discretion.

Campaign Reward may, but is not limited to, be a XP, contributor rank, or an avatar cosmetic, all of which are in-Platform items used to recognise your participation in the Campaign. Such rewards have no cash value, are not transferable or exchangeable outside the Platform, and remain tied to your account.

A Campaign Reward may also be rewarded in BORG and, where applicable, will be transferred directly to the User in the SwissBorg Application, in a timeframe determined by the Company, in its sole and absolute discretion.

In case a Campaign Reward is distributed in BORG via the SwissBorg Application, the transfer is provided by Blocknodes SAS, with registered address at 29 Rue Blanche, 75009 Paris, France. For the avoidance of any doubt, any such transfer, whether executed as an airdrop or otherwise, is governed by the SwissBorg App Terms of Use (available at https://swissborg.com/legal/swissborg-app-terms-of-use) and the SwissBorg Application Privacy Notice (available at: https://swissborg.com/legal/swissborg-app-privacy-policy).

The Company reserves the right, without any prior notice and at any time, to substitute a Campaign Reward with similar alternatives of equal or greater value.

Participation in the Campaign is voluntary. Nothing in this Campaign, including content available through the Guardians App, Quest descriptions, these Terms or any related communication constitutes investment advice, financial advice, tax advice, legal advice or a recommendation to purchase, sell or hold any crypto-asset or other financial product.

Where rewards consist of crypto assets, participants acknowledge that the value of such crypto assets may fluctuate significantly and that past performance does not indicate future performance.

Participation in the Campaign should not be interpreted as an expectation or guarantee of future rewards, returns, appreciation in value or any other economic benefit.

To the extent permitted by law, the Company shall accept no liability or responsibility in connection with the Campaign. The Company shall not be liable for server failures and performance problems encountered by Eligible Participants that participate.

To the extent permitted by applicable law, participants shall be responsible for any direct losses suffered by the Company that result from the participant’s intentional misconduct or negligent breach of these Terms, including any Quest-specific instructions relating to the creation or publication of content.

In the event that there is any suspicion of fraud or misuse, the Company reserves the right, without stating a reason, to exclude Eligible Participants from the Campaign, stop the Campaign and/or reclaim a Campaign Reward. Should the Company exclude Eligible Participants and/or stop the Campaign, there shall be no entitlement to payment or compensation.

The Company shall reserve the right to amend these Promotion General Terms and Conditions of Participation at any time with immediate effect.

If one or more of the provisions of these Guardians App General Terms and Conditions is invalid or unenforceable, the other provisions shall remain in full force and effect.

The Platform is provided on ‘as is’ and ‘as available’ basis, without warranties of any kind to the fullest extent permitted by law. The Company does not guarantee uninterrupted or error-free operation of the Platform.

These Guardians App General Terms and Conditions shall be governed by the substantive laws of Switzerland, excluding its private international law rules and conflict of laws principles.
